These Coaching & Mentorship Terms & Conditions (“Terms”) govern participation in any coaching, consulting, advisory, or mentorship services (“Services”) provided by The Traveling Black Women Network, operated by Grace Royal International LLC (“TBW,” “Company,” “we,” “us,” or “our”). By enrolling in or purchasing Services, you (“Client,” “you”) agree to these Terms.
1. Nature of the Relationship
TBW provides professional coaching and mentorship focused on travel content creation, travel advisory business development, brand strategy, partnerships, audience growth, and industry education.
Services are educational and advisory in nature and do not constitute legal, tax, financial, or licensing advice. The Client remains solely responsible for business decisions, compliance, and outcomes.
This agreement does not create an employer-employee relationship.
2. Hybrid Coaching Format
Services may include a combination of:
- 1:1 coaching or consulting sessions
- Group coaching, cohorts, or masterminds
- Digital resources, materials, or recordings
- Community-based discussions or forums
TBW reserves the right to adjust delivery methods while maintaining the integrity of the Services.
3. No Partnership, Affiliation, or Agency Relationship
Participation in TBW coaching or mentorship does not create or imply:
- A partnership
- A joint venture
- A travel agency affiliation
- A referral agreement
- An endorsement or sponsorship
- An agency or representative relationship
Unless there is a separate written agreement signed by both parties, the Client’s travel agency, creator brand, or business is not partnered with, affiliated with, endorsed by, or authorized to represent The Traveling Black Women Network in any way.
The Client may not publicly or privately suggest otherwise.
4. Intellectual Property Ownership
All coaching and mentorship materials—including but not limited to frameworks, methodologies, systems, tools, templates, curricula, strategies, branded language, recordings, worksheets, and verbal or written guidance—are the exclusive intellectual property of Grave Royal International, LLC.
This includes materials customized for the Client.
No ownership rights are transferred under this agreement.
5. Limited License to Use Materials
TBW grants the Client a limited, non-exclusive, non-transferable, non-sublicensable license to use provided materials solely for:
- Personal professional development or
- Internal operations of the Client’s own travel-related business
This license does not allow resale, redistribution, public sharing, teaching, or commercial exploitation of TBW intellectual property.
6. No Teaching, Repurposing, or Commercial Use
The Client agrees not to:
- Teach, coach, mentor, or train others using TBW frameworks or methods
- Repackage TBW materials into courses, programs, memberships, or certifications
- Sell, license, or distribute TBW intellectual property or derivative works
- Claim TBW strategies, systems, or language as their own
These restrictions apply during and after the coaching relationship.
7. Derivative Works
Any adaptations, variations, or derivative works created by the Client that are based on or derived from TBW intellectual property remain the sole property of TBW.
8. Client Ideas, Execution & Outcomes
The Client retains ownership of:
- Their independent ideas
- Their business execution
- Their results and outcomes
However, ownership of outcomes does not confer ownership of TBW’s underlying intellectual property, methods, or systems.
9. Non-Solicitation / No Poaching of Audience
To protect TBW’s community and business interests, the Client agrees that they will not directly or indirectly solicit, market to, pitch, or recruit:
- TBW coaching or mentorship clients
- TBW Social Club members
- TBW email subscribers
- TBW event or group trip participants
- TBW online or in-person community members
for travel services, coaching, consulting, affiliate offers, or other commercial services without TBW’s prior written consent.
This includes outreach via:
- Direct messages
- Email marketing
- Social media engagement
- Community platforms
- Events or networking spaces
This provision applies during the engagement and for 3 years after the conclusion of Services, to the extent permitted by Georgia law.
10. Confidentiality (Mutual)
Both parties agree to maintain confidentiality.
- TBW will protect Client business information.
- The Client agrees not to disclose TBW proprietary methods, materials, pricing strategies, or internal discussions.
Group participants also agree to respect the confidentiality of other members.
11. Recording & Use of Sessions
Unless explicitly authorized in writing:
- Clients may not record coaching sessions.
- Any recordings provided by TBW are for personal or internal use only and may not be shared, distributed, or published.
12. Payments, Refunds & Cancellations
12.1 Payment Terms
- All fees for coaching and mentorship services are due in advance of the start of Services.
- TBW accepts payment via approved payment processors (e.g., Stripe, WeTravel, or other designated platforms).
- Payment plans, if offered, are a courtesy and do not change the total amount owed.
- The Client agrees to complete all installment payments regardless of participation level, attendance, or early withdrawal.
Failure to complete payment may result in suspension or termination of Services.
12.2 Late or Failed Payments
- If a payment fails or is declined, the Client will have 5 calendar days to resolve the issue.
- Coaching access may be paused until payment is brought current.
- TBW reserves the right to charge any applicable late fees permitted under Georgia law.
12.3 Refund Policy (Industry Standard)
Due to the nature of coaching and mentorship services:
- All sales are final.
- No refunds are provided once Services have begun.
- No refunds are issued for:
- Missed sessions
- Partial participation
- Dissatisfaction with outcomes
- Scheduling conflicts
- Client non-performance or change of circumstances
This policy applies to both 1:1 and group (hybrid) coaching.
12.4 Client Cancellations
- Clients may cancel future participation by providing written notice.
- Cancellation does not relieve the Client of any remaining payment obligations.
- Access to coaching materials, recordings, and communities may be revoked upon cancellation.
12.5 Rescheduling (1:1 Sessions)
- Clients may reschedule 1:1 sessions with at least 24 hours’ notice, subject to availability.
- Sessions canceled with less than 24 hours’ notice may be forfeited.
- Missed sessions (“no-shows”) are not rescheduled or refunded.
12.6 Group Coaching & Hybrid Programs
- Group sessions, cohorts, masterminds, and scheduled group calls are not rescheduled for individual participants.
- Missed group sessions may be recorded at TBW’s discretion; recordings are not guaranteed.
12.7 Program Changes or Cancellation by TBW
TBW reserves the right to:
- Reschedule sessions due to illness, emergencies, or unforeseen circumstances
- Substitute facilitators or adjust delivery methods
- Cancel a program if minimum enrollment is not met
If TBW cancels a program before it begins, the Client will receive:
- A full refund or
- A credit toward a future program (Client’s choice)
12.8 Chargebacks & Disputes
- Clients agree not to initiate chargebacks without first contacting TBW to attempt resolution.
- Unauthorized chargebacks may result in immediate termination of Services.
- Any disputed fees remain payable while the dispute is under review.
12.9 Acknowledgment
By enrolling in Services, the Client acknowledges and agrees that:
- Coaching outcomes are not guaranteed
- Payment obligations are independent of results
- This payment and cancellation policy is reasonable and customary in the coaching and travel mentorship industry
13. No Guarantees
TBW makes no guarantees regarding income, partnerships, audience growth, brand deals, or business success. Results depend on factors beyond TBW’s control, including the Client’s effort and market conditions.
14. Termination
TBW reserves the right to terminate Services without refund if the Client breaches these Terms, including misuse of intellectual property, misrepresentation of partnership, or violation of the non-solicitation clause.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles.
16. Agreement
By enrolling in or purchasing Services, the Client acknowledges that they have read, understood, and agreed to these Terms.
